Acceptance of Terms

By using Nainia, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as any additional guidelines or policies referenced herein. If you are using the Site on behalf of an entity, you represent that you have the authority to bind that entity to these Terms.

If you submit any content to the Site (e.g., comments, suggestions), you grant Nainia a non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content in any media worldwide. You represent that you have all rights necessary to grant this license.

Termination

Nainia may, in its sole discretion, terminate or suspend your access to the Site at any time, with or without cause, including for violation of these Terms. Upon termination, your right to use the Site immediately ceases, and we may delete your account and any related content without liability.

Provisions of these Terms that by their nature should survive termination, including but not limited to intellectual property, disclaimers, limitation of liability, and governing law, shall survive.

Disclaimer of Warranties

Nainia disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Site will be uninterrupted, error-free, secure, or free of viruses or other harmful components, or that any defects will be corrected. You assume all risk for any loss or damage arising from your use of the Site.

Limitation of Liability

To the fullest extent permitted by law, in no event shall Nainia Interactive, Inc., its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of or in connection with your use of the Site, whether based on warranty, contract, tort (including negligence), or any other legal theory, even if advised of the possibility of such damages.

Our total liability to you for any claims arising from or related to these Terms or your use of the Site shall not exceed the greater of $100 or the amount you have paid to us in the six months preceding the claim.

Changes to These Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting on this page, with the "last updated" date revised accordingly. We may also notify you via email or a prominent notice on the Site. Your continued use of Nainia after any changes constitutes your acceptance of the new Terms.

Governing Law

These Terms and any disputes arising out of or related to your use of the Site shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles. You agree to submit to the personal and exclusive jurisdiction of the state and federal courts located in Delaware for the resolution of any disputes.

Notwithstanding the foregoing, Nainia may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights.
